1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Ateliant. They apply when you visit ateliant.com, create an Ateliant account, or use any Ateliant app, including CertZilla, Linkchime and AI credits (together, the "Services").

Ateliant is a sole proprietorship owned and operated by Uzay Yildirim in Surrey, British Columbia, Canada. "Ateliant", "we", "us" and "our" refer to that business.

By creating an account, buying a plan or using the Services, you agree to these Terms, our Privacy Policy and our Refund and cancellation policy. If you use the Services for an organisation, you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation. If you do not agree, please do not use the Services.

2. Our services

Ateliant makes software you use online:

  • CertZilla for designing and sending certificates and Open Badges;
  • Linkchime for branded short links, QR codes, landing pages and link analytics;
  • AI credits, one balance that powers AI features across Ateliant apps;
  • your Ateliant account, the single sign-in, billing and support centre behind every app.

Some apps have their own terms or notices, such as the Linkchime terms on linkchime.com. Those apply alongside these Terms, and win for that app if the two conflict. Custom software we build for you is covered by a separate written agreement.

3. Your account

You need an Ateliant account to use most of the Services. You must be at least 16 to create an account, and old enough to form a binding contract where you live (18 in most places) to buy a paid plan.

Give us accurate information and keep it up to date. Keep your sign-in methods, including passwords, passkeys and API keys, secure and do not share them. You are responsible for activity under your account and for anyone you give access to, such as teammates in a shared workspace. Tell us straight away at [email protected] if you think your account has been used without permission.

4. Plans, prices and payment

Each app has a free plan and paid plans. Current plans and prices are listed on our Pricing page and shown again at checkout before you pay. Prices are in US dollars and do not include taxes, which are added at checkout where they apply.

Paid plans are subscriptions billed in advance, monthly or yearly depending on the option you choose. Your subscription renews automatically at the end of each billing period until you cancel. By subscribing, you authorise us, through our payment processor Stripe, to charge your payment method at the start of each billing period.

You can change plans in Billing, where the effect on price and timing is shown before you confirm. Moves to a cheaper plan take effect at the end of the current billing period.

If a payment fails, we or Stripe may retry it and ask you to update your payment method. If it still cannot be collected, we may move your account to the free plan or pause paid features until it is paid.

Free plans have the limits shown on the Pricing page. Some free plans are for personal, non-commercial use only, as stated there. We may change free plan limits from time to time.

We may change prices. If a change affects a plan you are on, we will email you at least 30 days before it applies to your next renewal, and you can cancel before then.

5. Cancellation and refunds

You can cancel any time from Billing in your account. Cancellation takes effect at the end of the billing period you have paid for, and you keep access until then. Payments are non-refundable except as set out in our Refund and cancellation policy, which forms part of these Terms.

6. AI credits and AI features

AI credits are a prepaid balance used by AI features in Ateliant apps and by the Ateliant AI API. Credits are deducted per request according to the AI model used and the amount of text processed. Your account shows your balance and recent usage. Credits can only be used with the Services. They have no cash value, cannot be transferred, and are non-refundable, whether used or not.

AI output is generated automatically and can be inaccurate or incomplete. Check it before you rely on it or publish it. You are responsible for how you use AI output.

7. Promotions and discounts

We may sometimes offer promotions, such as discount codes, introductory prices or extended trials. Each promotion's own terms, including who is eligible, what it applies to, how long it lasts and when it must be redeemed, are shown where it is offered and apply together with these Terms.

Unless a promotion says otherwise:

  • it is limited to one per customer and applies to new purchases only;
  • it cannot be combined with other offers, exchanged for cash or transferred;
  • when the promotional period ends, the plan renews at its regular price;
  • we may end or change it at any time, but a discount already applied to your plan stays in place for the period it was offered for;
  • we may withdraw it if it was obtained through fraud or misuse.

8. Acceptable use

You must not use the Services to:

  • break any law, or help anyone else do so;
  • send spam or messages people have not agreed to receive, including through CertZilla's email sending;
  • create links, QR codes or pages that lead to phishing, malware, scams or deceptive content, or that hide where a link really goes in order to cause harm;
  • issue certificates or badges that are fraudulent or that misrepresent a qualification, an issuer or an achievement;
  • infringe intellectual property, privacy or other rights, or publish content that is defamatory, harassing, hateful or exploits minors;
  • use AI features to create unlawful content or to impersonate real people in a misleading way;
  • probe, scan or test the security of the Services without our written permission, or disrupt or overload them;
  • get around plan limits, for example by creating accounts automatically or sharing one paid account between organisations;
  • copy, resell or reverse engineer the Services, except where the law allows it despite this term.

We may remove content, disable links or pages, or suspend access that breaks these rules, as described under Suspension and termination.

9. Your content

You keep all rights in what you create or upload, such as certificate designs, recipient lists, links, pages and AI prompts ("your content"). You give us a worldwide, non-exclusive licence to host, store, copy, process and display your content only as needed to run, secure and support the Services for you. This licence ends when your content is deleted from the Services, apart from backups that expire on their normal cycle.

You are responsible for your content and for having the rights and consents it needs, for example permission to email the recipients of your certificates.

CertZilla processes your designs and recipient lists in your browser and does not store them on our servers. Keep your own copies of anything important.

10. Our software and brand

The Services, including the software, designs, text, logos and the names Ateliant, CertZilla and Linkchime, belong to Ateliant or its licensors and are protected by law. We give you a limited, non-exclusive, non-transferable right to use the Services under these Terms. Certificates, badges, links and pages you create with the Services are yours to use and share.

If you send us ideas or feedback, we may use them without any obligation to you.

11. Third-party services

The Services rely on, and can connect to, services run by others: for example Stripe for payments, OpenAI for AI features, and email providers you connect to CertZilla such as Gmail, Microsoft 365, Brevo or Resend. Your use of those services is subject to their own terms, and we are not responsible for them. We do not endorse third-party websites that the Services link to, including links created by other Linkchime users.

12. Changes and availability

We keep improving the Services, so features may be added, changed or removed. If we plan to close an app entirely, we will give you at least 30 days' notice and refund any prepaid fees for the time after it closes.

We aim to keep the Services available around the clock, but we do not guarantee that they will be uninterrupted or error-free. We carry out maintenance from time to time, and some interruptions are outside our control.

13. Suspension and termination

You can stop using the Services and ask us to delete your account at any time.

We may suspend or close your account, or limit features, if you seriously or repeatedly break these Terms, if a payment fails and is not fixed, if the law requires it, or if your use puts other users, third parties or the Services at risk. Where reasonable, we will tell you first and give you a chance to fix the problem. If we close your account without any breach on your part, we will refund prepaid fees for the unused period.

When an account closes, your right to use the Services ends and we delete your data as described in our Privacy Policy. Terms that by their nature should continue, such as payment obligations, disclaimers, limitation of liability and governing law, continue to apply.

14. Legal and export restrictions

You must comply with the export control and sanctions laws that apply to you and to the Services, including those of Canada and the United States. You may not use the Services if you are located in, or ordinarily resident in, a country or region subject to comprehensive Canadian or United States sanctions, or if you are a person or organisation named on a Canadian, United States or United Nations sanctions list. You must not use the Services to provide anything to such a place or person.

The Services are not designed for uses where a failure could lead to death, injury or serious damage to property or the environment, and must not be used for them. Some features may not be available in every country.

15. Disclaimers

Except as stated in these Terms, the Services are provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will meet every need, or that AI output, analytics or third-party integrations will always be accurate.

If you are a consumer, you have legal rights that these Terms do not affect.

16. Limitation of liability

To the extent the law allows, Ateliant is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services, even if we were told such losses were possible.

To the extent the law allows, our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the event that gave rise to the claim, or US$100.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

17. Indemnity

If you use the Services for a business or organisation, you agree to defend and indemnify Ateliant against third-party claims, and the resulting damages, costs and reasonable legal fees, arising from your content, your use of the Services in breach of these Terms, or your breach of the law or of someone else's rights.

18. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Any dispute that cannot be settled informally will be decided by the courts of British Columbia, and you and we submit to their jurisdiction.

If you are a consumer living elsewhere, you keep the protection of the mandatory laws of the place you live and may also bring proceedings in your local courts.

Before starting formal proceedings, please contact us so we can try to resolve the issue informally.

19. Changes to these terms

We may update these Terms as the Services change or the law requires. We will post the new version on this page with a new "Last updated" date. If a change materially affects you, we will tell you by email or in your account at least 30 days before it takes effect. If you keep using the Services after that, the new Terms apply. If you do not agree, you can cancel before they take effect.

20. General

These Terms, together with the policies they refer to, are the entire agreement between you and Ateliant about the Services. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right straight away, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a sale or reorganisation of the business, and will tell you if we do.
